Commercial Space License & Lease Agreement

Vets Innovation Center — Standard Template (for customer review)

1. Parties & Premises

This Agreement is made between Vets Innovation Center, LLC ("Landlord") and [Tenant Name] ("Tenant") for the premises identified as [Space — e.g., Office 103], consisting of approximately [___] square feet, located within the Vets Innovation Center facility, together with shared use of common areas (lobby, restrooms, kitchenette, and corridors).

2. Term

The initial term begins on [Start Date] and ends on [End Date]. Unless either party gives written notice at least thirty (30) days before the end of the term, this Agreement renews month-to-month at the then-current published rate.

3. Rent & Payments

Base rent is $[___] per month, due on the 1st of each month. Rent may be paid online through the Tenant Portal at vetsinnovationcenter.com/portal, by ACH, or by check. A late fee of 5% applies to payments received after the 5th of the month. A one-time security deposit equal to one month's rent is due at signing and is refundable per Section 12.

4. Included Services

Rent includes: electricity, water, HVAC during building hours, janitorial service for common areas, high-speed internet, mail handling, and access to shared kitchenette. Conference rooms and equipment (tables, chairs, A/V, computers, 3D printers) may be reserved and paid for separately through the Tenant Portal at published rates.

5. Use of Premises

The premises shall be used for general office, professional, or light maker/prototyping purposes only, consistent with the Facility Rules (attached and incorporated). No retail walk-in traffic, hazardous materials, or residential use is permitted.

6. Insurance (Summary — see full requirements below)

Before occupancy, Tenant shall provide a certificate of insurance evidencing the coverage listed in the Insurance Requirements section of this document, naming Vets Innovation Center, LLC as additional insured, and shall maintain such coverage throughout the term.

7. Access & Security

Tenant receives keycard access appropriate to their plan (24/7 for offices, suites, and dedicated desks; business hours for hot-desk members). Keycards are non-transferable. Tenant is responsible for guests and must accompany them in the facility.

8. Maintenance & Alterations

Landlord maintains the building, common areas, and building systems. Tenant shall keep the premises clean and shall not make alterations, mount fixtures, or paint without prior written consent. Approved alterations must be removed and the space restored at move-out unless agreed otherwise in writing.

9. Assignment & Subletting

Tenant may not assign this Agreement or sublet any portion of the premises without Landlord's prior written consent.

10. Default

Failure to pay rent within ten (10) days of written notice, repeated violation of Facility Rules, lapse of required insurance, or abandonment of the premises constitutes default, upon which Landlord may terminate this Agreement and pursue remedies allowed by law.

11. Liability & Indemnification

Tenant assumes responsibility for its property, employees, and guests, and shall indemnify and hold Landlord harmless from claims arising out of Tenant's use of the premises, except to the extent caused by Landlord's gross negligence or willful misconduct. Landlord is not responsible for loss or damage to Tenant's property, including items left in common areas.

12. Move-Out & Deposit

At the end of the term, Tenant shall return the premises in its original condition, ordinary wear excepted, and return all keycards. The security deposit, less documented deductions, will be returned within thirty (30) days.

13. Governing Law

This Agreement is governed by the laws of the State of [State]. Any disputes shall be resolved in the county where the facility is located.

Insurance Requirements

A current Certificate of Insurance (COI) is required before move-in or event setup, naming Vets Innovation Center, LLC as additional insured and providing 30 days' notice of cancellation.

One-day event policies are widely available online at low cost — ask us for recommended providers if you don't carry business insurance.

Facility Rules

Everyday use

  • Building hours: 7am–7pm Mon–Fri; 24/7 keycard access for office, suite, and dedicated-desk members.
  • Guests must be signed in and accompanied by a member or tenant.
  • Keep noise considerate; take calls in phone booths or your own office.
  • Shared kitchenette: label your food, clean as you go.
  • No smoking or vaping anywhere in the building; designated area outside.
  • No pets except service animals.
  • No hazardous, flammable, or illegal materials on premises.
  • Report maintenance or security issues to the front desk or portal.

Events & equipment

  • Event setup and teardown must occur within your reserved slot.
  • Maximum occupancy of the Event Hall is 150 — strictly enforced.
  • Alcohol service requires a licensed bartender and liquor liability coverage.
  • Amplified sound ends by 10pm.
  • Reserved equipment (tables, chairs, A/V, computers, 3D printers) is checked out and back in — damage or loss is billed at replacement cost.
  • 3D printers and maker equipment require a brief orientation before first use.
  • Leave the space as you found it; excess cleanup is billed at $75/hour.
  • Decorations: no nails, staples, or permanent adhesives; no open flames (LED candles only).
